Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SubVerify platform, operated by SubVerify ("SubVerify," "we," "us," or "our"), accessible at getsubverify.com("the Service").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.
1. Service Description
SubVerify is a cloud-based subcontractor compliance management platform designed for general contractors, construction companies, and their subcontractors. The Service enables:
- General contractors ("GC Accounts") to invite subcontractors, track compliance documents, receive automated expiry alerts, manage projects, and generate compliance reports.
- Subcontractors ("Sub Accounts") to upload, manage, and update their own compliance documents via a self-service portal at no cost.
SubVerify does not provide legal, insurance, or compliance advice. The platform is a document management and tracking tool only. You are solely responsible for determining whether a subcontractor's documents satisfy your legal, contractual, or regulatory requirements.
2. Electronic Communication Consent
By creating an account and using the Service, you expressly consent to receive the following communications from SubVerify electronically:
- Compliance alerts and document expiration reminders
- Billing notices and subscription-related communications
- Security notices and account integrity alerts
- Service notifications, maintenance updates, and feature announcements
- Legal notices, including updates to these Terms or the Privacy Policy
- Account communications, including invitations, confirmations, and password resets
You agree that all electronic communications from SubVerify satisfy any legal requirement that such communications be in writing. SubVerify may deliver these communications via email to the address on your account, via in-platform notifications, or via both channels.
You may opt out of marketing and non-essential promotional communications at any time. However, you may not opt out of transactional or legal notices — including compliance alerts, expiration reminders, billing notices, security notices, and legal updates — while your account remains active. These communications are necessary for the operation of the Service and cannot be disabled without canceling your account.
You are responsible for keeping your email address current and accurate in your account settings. SubVerify is not liable for any harm resulting from your failure to maintain a valid email address or from emails that are filtered as spam.
3. Contractor Compliance Responsibility
3.1 What SubVerify Is
SubVerify is a software platform for organizing, storing, tracking, and managing compliance documents. SubVerify provides tools to collect documents from subcontractors, monitor expiration dates, and generate alerts and reports based on the data users provide to the platform.
3.2 What SubVerify Is Not
SubVerify is not any of the following:
- A compliance certification company
- An insurance verification company
- A legal advisor or law firm
- A licensing authority
- A regulatory agency
- A safety certification company
SubVerify does not employ licensed insurance agents, attorneys, engineers, safety officers, or compliance professionals in connection with document review on the platform. No communication from SubVerify constitutes legal, insurance, licensing, or compliance advice.
3.3 Contractor Remains Solely Responsible
Regardless of what is displayed on the SubVerify platform, contractors using the Service remain solely and entirely responsible for:
- Reviewing all compliance documents submitted by subcontractors
- Verifying insurance coverage, policy limits, endorsements, exclusions, and carrier validity
- Verifying that licenses and permits are current, valid, and appropriate for the work being performed
- Verifying regulatory compliance and adherence to applicable laws, codes, and standards
- Verifying safety certifications, OSHA compliance, and training credentials
- Verifying subcontractor qualifications and eligibility for the work
- Determining whether a subcontractor should be granted site access
- Making all hiring, approval, mobilization, retention, and access decisions
3.4 SubVerify Does Not Verify Documents
SubVerify does not verify, validate, certify, authenticate, inspect, investigate, or guarantee any: insurance certificates (COIs), certificates of insurance, W-9 forms, contractor licenses, business licenses, permits, OSHA certifications, safety training records, bonding documentation, or any other compliance documents uploaded to or tracked through the platform. The presence of a document on the platform, the display of a "compliant" status, or the receipt of a compliance alert does not constitute verification, certification, or approval by SubVerify.
3.5 Final Decisions Remain with the Contractor
The final decision to hire, approve, mobilize, retain, or allow any subcontractor access to a jobsite or project remains entirely and solely the responsibility of the general contractor or hiring party. SubVerify shall have no liability whatsoever for any loss, injury, damage, claim, penalty, or expense of any kind arising from or related to a contractor's reliance on compliance status indicators, document tracking data, compliance scores, alert notifications, or any other information displayed or provided through the SubVerify platform.
4. Compliance Alert Disclaimer
SubVerify provides automated compliance alerts and expiration notifications as a convenience feature. You acknowledge and agree that compliance alerts and notifications:
- May be delayed, fail to send, or arrive inaccurately due to technical, infrastructure, or other factors beyond SubVerify's control
- Are subject to interruption due to system failures, email delivery failures, infrastructure outages, or third-party service disruptions
- Are generated based solely on the data entered by users into the platform and may be inaccurate if users have entered incorrect expiration dates or document information
- Should not be relied upon as the sole or primary method for monitoring compliance status or document expiration
Users remain solely responsible for actively and independently monitoring document expiration dates and compliance status, regardless of whether alerts are received or not. SubVerify is not liable for any loss, damage, penalty, or expense arising from a missed, delayed, or failed compliance alert.
5. Compliance Status Disclaimer
The SubVerify platform displays various compliance status indicators, including but not limited to "Compliant," "Non-Compliant," "Expired," "Approved," green/yellow/red color indicators, and compliance scores. You acknowledge and agree that these status displays:
- Are informational indicators only, generated automatically from user-provided data entered into the platform
- Are not legal determinations, official certifications, regulatory approvals, or guarantees of any kind
- Are not verified, reviewed, or confirmed by SubVerify staff or any SubVerify system
- Are subject to being incorrect, incomplete, or misleading if users have uploaded incorrect, expired, fraudulent, or falsified documents
- Do not constitute any representation or warranty by SubVerify regarding a subcontractor's insurance coverage, licensing, regulatory compliance, qualifications, or fitness for any purpose
A "compliant" status shown on the SubVerify platform means only that a document has been uploaded and that the expiration date recorded in the system has not yet passed. It does not mean the document is authentic, valid, currently in force, or sufficient for any particular legal, contractual, or regulatory purpose.
6. Account Eligibility and Acceptable Use
To use SubVerify, you must:
- Be at least 18 years of age.
- Be a business or be authorized to bind a business to these Terms.
- Provide accurate, complete, and current registration information, including a valid email address and company name.
- Keep your account credentials confidential and not share them with unauthorized parties.
You are responsible for all activity that occurs under your account. You agree to notify us immediately at contact@warrenandsabb.com if you become aware of any unauthorized access to or use of your account.
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation
- Upload false, fraudulent, forged, or falsified compliance documents of any kind
- Upload malware, viruses, ransomware, trojans, or any malicious or harmful code
- Upload or transmit spam, bulk unsolicited communications, or commercial messages unrelated to legitimate use of the Service
- Create false identities, impersonate any person or entity, or misrepresent your affiliation with any person or entity
- Attempt to gain unauthorized access to any part of the Service, its infrastructure, servers, databases, or other systems
- Conduct security testing, penetration testing, vulnerability scanning, or any similar activity against the Service without express prior written authorization from SubVerify
- Access the SubVerify API in an unauthorized manner or in excess of documented rate limits
- Scrape, bulk-extract, crawl, or spider any content or data from the Service without written consent
- Attempt to access, view, download, or export data belonging to another company or user
- Abuse platform resources in a manner that degrades service quality or availability for other users
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the Service
- Resell, sublicense, or otherwise transfer access to the Service to any third party
Violation of this section may result in immediate account suspension or termination and may expose you to civil or criminal liability.
7. Account Ownership
SubVerify accounts belong to the registered business entity, not to any individual employee, contractor, or user.
- Company accounts and data are owned by the business entity that registered the account, not by any individual user.
- Company administrators are responsible for creating, managing, and revoking access for all employee and user accounts within their organization.
- Individual employees and contractors who are added as users do not own the company account and have no right to retain, access, or export company data upon their separation from the company.
- The business entity is solely responsible for promptly revoking access for any employee, contractor, or user who leaves the organization or whose access should otherwise be terminated.
- SubVerify is not liable for any unauthorized access or data exposure resulting from a company's failure to promptly revoke user access.
Subcontractors who are invited to the platform as Sub Accounts retain ownership of the compliance documents they upload to their own profile. General contractors do not own subcontractor documents; they are granted access to view them for compliance purposes within the scope of their working relationship.
8. Payment Terms
8.1 Subscription
GC Accounts require an active paid subscription to access the Service. Subscriptions are billed monthly at $79/month (Starter, up to 25 subcontractors), $149/month (Professional, up to 100 subcontractors), or $299/month (Business, unlimited subcontractors). A valid payment method is required at registration.
Prices are in US Dollars and are subject to change with 30 days' advance notice.
Sub Accounts are always free and are not subject to subscription fees.
8.2 Billing
Subscriptions are billed monthly on the date your paid subscription begins. Payment is processed through Stripe, our third-party payment processor. By providing payment information, you authorize SubVerify and Stripe to charge your payment method for all fees when due.
8.3 Refunds
Subscription fees are non-refundable except as required by applicable law. If you believe a billing error has occurred, contact us within 30 days of the charge at contact@warrenandsabb.com.
8.4 Cancellation
You may cancel your subscription at any time from the billing portal or by contacting us at contact@warrenandsabb.com. Your access continues until the end of the current billing period. If you wish to have your account and data deleted, contact us at contact@warrenandsabb.com. Data may be retained for up to 90 days after a deletion request is processed.
9. Data and Content
9.1 Your Content
You retain ownership of all compliance documents, business information, and other content ("Your Content") that you or your subcontractors upload to the Service. By uploading content, you grant SubVerify a limited, non-exclusive license to store, display, and process Your Content solely for the purpose of providing the Service to you.
9.2 Content Accuracy
You are solely responsible for the accuracy and authenticity of all compliance documents uploaded to SubVerify. SubVerify does not verify, validate, or certify the authenticity of any document. Uploading fraudulent or falsified documents may constitute a violation of applicable law and will result in immediate account termination.
9.3 Data Handling
Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. Compliance documents and associated data are stored securely using Supabase infrastructure hosted in the United States.
10. Intellectual Property
The SubVerify platform, including its software, design, user interface, trademarks, and service marks, is owned by SubVerify and protected by applicable intellectual property laws. These Terms do not grant you any rights in SubVerify's intellectual property beyond the limited license to use the Service as described herein.
11. Disclaimer of Warranties and Limitation of Liability
11.1 Disclaimer of Warranties
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. SubVerify does not warrant that the Service will be uninterrupted, error-free, or free of viruses or other harmful components. SubVerify does not warrant that compliance documents tracked through the Service satisfy any particular legal, contractual, or regulatory requirements.
11.2 Limitation of Liability
To the maximum extent permitted by applicable law, SubVerify and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, data loss, or business interruption — arising out of or related to your use of or inability to use the Service, even if SubVerify has been advised of the possibility of such damages.
SubVerify's total cumulative liability to you for any claims arising under these Terms shall not exceed the greater of (a) the total amount you paid to SubVerify in the 12 months preceding the claim, or (b) $100 USD.
11.3 Compliance Liability
SubVerify is a document tracking tool, not a compliance certification service. You acknowledge and agree that SubVerify is not responsible for any loss, liability, damage, or expense arising from a subcontractor's lapsed, expired, fraudulent, or insufficient insurance or licensing documentation.
11.4 Security
SubVerify implements industry-standard security measures to protect your data. However, no system is completely secure, and SubVerify cannot guarantee that unauthorized parties will never gain access to your data.
You acknowledge and accept the following:
- No absolute guarantee against unauthorized access to data stored on or transmitted through the Service exists
- Electronic transmission of sensitive documents, including insurance certificates, W-9 forms, and licensing documents, carries inherent risks
- SubVerify is not liable for unauthorized access to your data by third parties despite implementing reasonable security measures
By using the Service to store and transmit sensitive compliance documents, you acknowledge and accept the inherent risks of electronic document management and transmission over the internet.
12. Force Majeure
SubVerify shall not be liable for any delay, failure, or interruption of the Service arising from causes beyond SubVerify's reasonable control, including but not limited to:
- Outages, failures, or service disruptions by AWS, Supabase, Vercel, Stripe, Resend, or any other infrastructure or third-party service provider
- Internet or telecommunications failures, network congestion, or connectivity disruptions
- Natural disasters, acts of God, floods, earthquakes, fires, hurricanes, or other catastrophic events
- Cyber attacks, ransomware attacks, distributed denial-of-service (DDoS) attacks, or other malicious third-party actions
- Power outages or utility failures
- Government actions, regulations, orders, or laws that restrict or prohibit the operation of the Service
- Labor disruptions, strikes, or work stoppages
- Pandemics, public health emergencies, or quarantine restrictions
- Any other cause beyond SubVerify's reasonable control
In the event of a force majeure event, SubVerify will use commercially reasonable efforts to restore Service as quickly as possible and will communicate updates to affected users.
13. Indemnification
You agree to defend, indemnify, and hold harmless SubVerify and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your violation of these Terms; (b) your use of the Service; (c) Your Content; or (d) your violation of any third-party rights.
14. Termination
SubVerify reserves the right to suspend or terminate your account at any time, with or without notice, for any of the following reasons: (a) violation of these Terms; (b) uploading fraudulent or misleading documents; (c) non-payment of fees; (d) conduct that SubVerify reasonably believes is harmful to SubVerify, other users, or third parties.
You may terminate your account at any time by canceling your subscription in your account settings and ceasing use of the Service. Upon termination, your right to use the Service ceases immediately. Sections 9 (Data), 10 (Intellectual Property), 11 (Limitation of Liability), 13 (Indemnification), 15 (Governing Law), and 16 (Disputes) survive termination.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. You agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Delaware for the resolution of any disputes arising under these Terms, except where prohibited by applicable law.
16. Dispute Resolution
Before filing any formal legal proceeding, you agree to attempt to resolve disputes informally by contacting SubVerify at contact@warrenandsabb.com with a written description of the dispute. SubVerify will attempt to respond within 30 days. If the dispute is not resolved within 60 days, either party may pursue formal legal action.
Class Action Waiver: To the extent permitted by law, you agree that any dispute resolution proceeding will be conducted only on an individual basis and not in a class, consolidated, or representative action.
17. Changes to These Terms
SubVerify may update these Terms from time to time. We will notify you of material changes by email to the address on file or by posting a notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must cancel your account before the effective date.
